2. Corporate Structure; Separate Legal Entities

Fresnaye & Company operates through separate legal entities, which may include:

Fresnaye & Company LLC, a United States limited liability company (“Fresnaye US”)
Fresnaye & Company Ltd, a company incorporated in England & Wales (Company No. 17056956) (“Fresnaye UK”)

Each entity is a distinct legal person. References to “Fresnaye,” “we,” “us,” or “our” refer to the applicable entity
providing the Website access or services, as determined under Section 3 below. No entity assumes responsibility for the
obligations, liabilities, or acts of another entity unless expressly agreed in a signed writing.

3. Contracting Entity

The entity with which you contract depends on your location and the services provided:

Clients located in the United States contract with Fresnaye US.
Clients located in the United Kingdom or Europe contract with Fresnaye UK.
The applicable contracting entity will be identified in your proposal, statement of work, engagement letter, master services agreement, invoice, or other written agreement (each, an “Engagement Agreement”).

If there is any inconsistency between these Terms and an Engagement Agreement, the Engagement Agreement will control
solely for that engagement.

4. No Partnership; No Agency; Independent Contractor

Nothing in these Terms or any interaction through the Website creates a partnership, joint venture, employment relationship,
fiduciary relationship, or agency relationship between you and Fresnaye. Fresnaye provides services (if any) as an
independent contractor. You have no authority to bind Fresnaye, and Fresnaye has no authority to bind you, unless expressly
stated in a signed Engagement Agreement.

5. Services; Information Only

Fresnaye may provide consulting and advisory services across various industries. Any descriptions of services on the Website
are informational and do not constitute an offer. Services are provided only pursuant to an Engagement Agreement.

6. No Professional Advice; No Reliance

The Website and its content are provided for general informational purposes only and do not constitute legal, tax, financial,
medical, investment, or other professional advice. You should not rely on Website content as a substitute for professional advice
tailored to your circumstances. Use of the Website is at your sole risk.

7. Fees and Payment (Services Only)

Fees, billing cadence, and payment terms for services will be set out in the applicable Engagement Agreement and/or invoice.
Late payments may result in suspension of services, termination of the engagement, and/or collection actions, as permitted by law.

8. Intellectual Property

The Website and all content on it (including text, graphics, logos, design elements, and compilations) are owned by Fresnaye or
its licensors and are protected by applicable intellectual property laws. You may not copy, reproduce, distribute, modify,
create derivative works from, or publicly display any Website content without prior written consent, except as permitted by law.

Client deliverables (if any) are governed by the intellectual property terms in the applicable Engagement Agreement.

9. Confidentiality

Fresnaye will treat non-public client information as confidential in accordance with the applicable Engagement Agreement.
This Website does not create any confidentiality obligation unless otherwise agreed in writing.

10. Acceptable Use

You agree not to:

Use the Website for unlawful, harmful, or fraudulent purposes;
Attempt to gain unauthorized access to the Website, servers, or systems;
Introduce malware, spyware, or harmful code;
Interfere with or disrupt the Website’s operation;
Scrape, harvest, or collect information from the Website at scale without written permission.

IN NO EVENT WILL FRESNAYE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES,
OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS INTERRUPTION, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF
(OR INABILITY TO USE) THE WEBSITE OR ANY CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
FRESNAYE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED
USD $100 (OR THE EQUIVALENT IN LOCAL CURRENCY), OR IF YOU HAVE PAID FEES TO FRESNAYE FOR SERVICES IN THE
TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, THE TOTAL FEES PAID BY YOU TO THE APPLICABLE CONTRACTING
ENTITY IN THAT TWELVE (12) MONTH PERIOD, WHICHEVER IS GREATER.
ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS,
COLLECTIVE, OR REPRESENTATIVE PROCEEDING, TO THE EXTENT PERMITTED BY LAW.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example,
certain liabilities under UK law, or for fraud where applicable).

14. Indemnification

You agree to defend, indemnify, and hold harmless the applicable Fresnaye entity, and its managers, directors, officers,
employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including
reasonable attorneys’ fees) arising out of or related to:

Your use of (or misuse of) the Website;
Your violation of these Terms;
Your violation of any law or third-party right;
Any content or information you submit through the Website (if applicable).

15. Privacy & Data Protection

Fresnaye processes personal data in accordance with applicable data protection laws, including UK GDPR and the UK Data Protection Act 2018
where applicable, and relevant U.S. privacy laws. Please review our Privacy Policy for details.

Each Fresnaye entity may act as an independent data controller for the engagements and operations it conducts.

16. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top indicates when changes were last made.
Your continued use of the Website after changes are posted constitutes your acceptance of the updated Terms.

17. Governing Law & Venue

Governing law and venue depend on the contracting entity:

For Fresnaye US (United States): These Terms and any dispute arising out of or related to them
are governed by the laws of the United States and the state in which Fresnaye US is formed and/or principally operates,
without regard to conflict of laws principles. Venue will lie in the state and federal courts located in that jurisdiction.
For Fresnaye UK (United Kingdom): These Terms and any dispute arising out of or related to them are governed
by the laws of England & Wales, and the courts of England & Wales will have exclusive jurisdiction, unless otherwise required by law.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
